Title
Amending the Articles of Incorporation of the Frankford Special Services District of Philadelphia, a Municipal Authority, by changing the number of board members of the Authority, naming board members to the Authority and providing for their terms of office, pursuant to the provisions of the “Municipality Authorities Act of 1945,” P.L. 382, as amended, all under certain terms and conditions.
Body
WHEREAS, Bill No. 940683 (Bill No.1000), approved May 27, 1995, authorized the City of Philadelphia to organize an Authority known as the “Frankford Special Services District of Philadelphia” (the "Authority") pursuant to the provisions of the Municipality Authorities Act of 1945, P.L.382, as amended, (the "Act"); and
WHEREAS, The Authority was created for a term of five (5) years, as set forth in its Articles of Incorporation, approved by Bill No.1000; and
WHEREAS, Bill No. 000541, approved December 19, 2000, adopted an amendment to the Articles of Incorporation extending the term of the Authority to December 31, 2005; and
WHEREAS, On December 31, 2005, the term of the Authority expired; and
WHEREAS, Bill No. 060957, approved April 12, 2007, authorized and directed the City Solicitor to file a Municipal Statement of Revival with the Secretary of the Commonwealth, in order to revive the Authority retroactively in accordance with the Act; and
WHEREAS, The City Solicitor has filed the Municipal Statement of Revival with the Secretary of the Commonwealth; and
WHEREAS, The Authority has proposed and City Council desires the following: to change the number of board members of the Authority from thirteen (13) to nine (9) members and to name board members to the Revived Authority and provide for their terms of office by filing an amendment to the Articles of Incorporation; now, therefore
THE COUNCIL OF THE CITY OF PHILADELPHIA HEREBY ORDAINS:
SECTION 1. City Council hereby adopts the following amendment to the Articles of Incorporation of the Frankford Special Services District of Philadelphia (“the Authority”) as proposed by the Board of Directors of the Authority:
“Delete paragraph (f) of the Articles of Incorporation in its entirety and in lieu thereof, paragraph (f) shall read as follows:
(f) The Powers of the Authority shall be exercised by a governing body called the "Board of Directors of the Frankford Special Services District" (Board of Directors) which shall consist of nine (9) members who shall serve without compensation. Each new member shall be appointed from the class of persons required under the by-laws of the Authority and the Municipality Authorities Act of 1945, as amended. The names and addresses of the initial members of the Board of Directors of the Revived Municipal Authority are set forth below. Each of the members shall serve for a term beginning on October 12, 2007 and ending at the end of the number of years set opposite his or her name below .

The members of the Board of Directors of the Authority shall elect the Chairperson and other officers of the Authority and members of the "Executive Committee" of the Authority. The special duties of the officers and Executive Committee shall be set forth in the by-laws adopted by the Authority for the management and operation of its affairs. Future appointments to the Board of Directors shall be made from the class of persons required under the by-laws of the Authority and the Municipality Authorities Act of 1945, for a term of five (5) years. Each Board of Directors vacancy shall be filled by the appointment by resolution of City Council after a public hearing of a candidate nominated by the Mayor from a list of candidates submitted to the Mayor by the remaining members of the Board of Directors. If City Council does not appoint any nominated candidate within forty-five (45) days after said candidate's name is presented to City Council for approval, the remaining members of the Board of Directors shall submit another list of candidates to the Mayor for nomination for City Council's approval by resolution after a public hearing.
