Title
Authorizing the Chief Information Officer, on behalf of the City, to enter into a multi-year agreement to purchase support for mainframe and database software protocols and applications, under certain terms and conditions.

Body
THE COUNCIL OF THE CITY OF PHILADELPHIA HEREBY ORDAINS:

SECTION 1. The Chief Information Officer for the City of Philadelphia, on behalf of the City of Philadelphia and through its Office of Innovation & Technology, is hereby authorized to enter into an agreement with a vendor or re-seller (the "Agreement") to purchase support for mainframe and database software protocols and applications (collectively referred to as "Licensed Products").

SECTION 2. The Agreement authorized by this Ordinance shall substantially incorporate the provisions and include Licensed Products similar to the products and services listed in "Exhibit A" to this Ordinance.

SECTION 3. The City Solicitor is hereby authorized to review and to approve, prior to execution, all instruments and documents necessary to effectuate this Ordinance, which instruments and documents shall contain such terms and conditions as the City Solicitor shall deem necessary and proper to protect the interests of the City.


EXHIBIT A

Term Sheet

1. Parties. The City of Philadelphia, acting through its Office of Innovation & Technology (the "City"), and a provider or re-seller of Licensed Products ("Licensor").

2. Term. The Term of the Agreement, upon City Council authorization, may be up to thirty-six (36) months, commencing on or around November 1, 2026, with the option to renew for an additional thirty-six (36) months. The City, in accordance with Section 8-200(3) of the Philadelphia Charter, shall have the right to terminate the Agreement, at the City's sole option, at any time after the expiration of four years.
